Profiteren van de goodwill

Hof Amsterdam 12 april 2011, LJN BT7348 (De NATIONALE SLIJTERSBON B.V. tegen GALL & GALL B.V.)

Als randvermelding. Goodwill. Concurrentie. Duurovereenkomsten. Slijterijketen Gall & Gall is vrij om naast de Nationale Slijtersbon een cadeaubon te verkopen, die alleen in de eigen winkels kan worden ingeleverd. Laagdrempelige regeling omvat de verplichting om na opzegging de slijtersbon nog gedurende 18 maanden in te wisselen. Misbruik van haar machtspositie maakt door een concurrerende bon te introduceren en daarmee DNS uit te markt te drukken en voorts dat Gall & Gall op onrechtmatige wijze profiteert van de goodwill van DNS.

4.3. DNS legt aan haar vordering ten grondslag, kort samengevat, dat met betrekking tot de afname van de slijtersbon tussen haar en Gall & Gall een duurovereenkomst is ontstaan en dat Gall & Gall in de nakoming daarvan toerekenbaar tekortschiet door zonder overleg met DNS en zonder inachtneming van een redelijke opzegtermijn een eigen cadeaubon te introduceren waardoor de afname door Gall & Gall c.s. van slijtersbonnen (drastisch) is verminderd en Gall & Gall feitelijk tot opzegging van een groot deel van de deelnameovereenkomst met DNS is overgegaan.

4.4. Dit standpunt is terecht door de voorzieningenrechter verworpen. Het betoog van DNS dat het Gall & Gall in het kader van haar relatie met DNS niet vrijstaat om de afname van slijtersbonnen te verminderen, althans niet zonder daarbij een redelijke opzegtermijn in acht te nemen, valt niet te rijmen met het bepaalde in artikel 3.4 van de algemene voorwaarden waaruit volgt dat voor deelnemende bedrijven geen afnameverplichting bestaat, noch met het bepaalde in artikel 7.2 waaruit volgt dat een deelnemer aan het DNS-systeem in feite op ieder gewenst moment deze deelname kan beëindigen door schriftelijk te verzoeken zijn uitgiftepuntnummer af te sluiten. Het enkele feit dat Gall & Gall gedurende een zeventiental jaren een belangrijke, of zelfs de belangrijkste, afnemer van slijtersbonnen is geweest en dat DNS door de verminderde afname als gevolg van de uitgifte van de Gall & Gall cadeaubon haar omzet (naar zij stelt) aanzienlijk heeft zien dalen, brengt op zichzelf niet mee dat Gall & Gall op de indertijd gekozen “laagdrempelige” regeling wat betreft het al dan niet participeren aan het slijtersbonnensysteem en de beëindiging daarvan geen beroep toekomt. Dat er in de loop der jaren sprake is geweest van contacten en/ of bestendige praktijken tussen DNS en Gall & Gall die er – mede gelet op de eisen van redelijkheid en billijkheid - toe leiden dat hun relatie op dit punt door andere spelregels wordt beheerst, is voorshands niet gebleken. Uit de stellingen van DNS volgt dat door haar niet met individuele slijterijen doch met de Vereniging van Drankenhandelaren Nederland overleg werd gevoerd. Dat Gall & Gall een belangrijk lid was van deze vereniging en zitting had in het bestuur daarvan (en daardoor onder meer op de hoogte was van de belangen van DNS) leidt op zichzelf niet tot een ander oordeel omtrent haar relatie tot DNS en de bij beëindiging daarvan in acht te nemen normen.

4.5. DNS heeft nog aangevoerd dat Gall & Gall misbruik van haar machtspositie maakt door een concurrerende bon te introduceren en daarmee DNS uit te markt te drukken en voorts dat Gall & Gall op onrechtmatige wijze profiteert van de goodwill van DNS. DNS heeft deze stellingen echter ook in hoger beroep niet deugdelijk feitelijk toegelicht. Vast staat dat Gall & Gall nog steeds slijtersbonnen verkoopt en dat deze bij haar winkels kunnen worden ingewisseld. Voorts is de door Gall & Gall geïntroduceerde cadeaubon in zoverre anders van karakter dan de slijtersbon, dat deze alleen bij Gall & Gall (franchise)winkels kan worden gekocht en ook alleen bij deze winkels kan worden ingeleverd. Niet valt in te zien dat het Gall & Gall in de gegeven omstandigheden niet vrij zou staan het geven van geschenken door eigen klanten op deze wijze te faciliteren, ook als dit nadelig is voor een concurrerende ‘algemene’ bon en leidt tot verminderde omzet van DNS. Het betoog van DNS dat een en ander jegens haar onrechtmatig is valt ook niet goed te rijmen met het door haar (primair) ingenomen standpunt dat Gall & Gall gerechtigd is een eigen cadeaubon op de markt te brengen mits zij daarbij een redelijke ‘opzegtermijn’ in acht neemt in verband met de verminderde afname van de slijtersbon (vgl. toelichting op grief 1). Door DNS wordt ook niet in twijfel getrokken dat Gall & Gall haar verplichting om na een eventuele opzegging de slijtersbon nog gedurende een periode van 18 maanden in te wisselen, gestand zal doen.

Tandplak voor 99,5% verwijdert door Waterpik Monddouche

RCC 7 juli 2011, Dossiernrs. 2011/00492 en 2011/00492-I (Waterpik Monddouche)

Reclamerecht. Uitingen op website en in folder van de Kijkshop over de Waterpik Monddouche van Global Agency en verpakking van product waarop o.a. de tekst "Verwijdert 99,9% van alle tandplak" staat. Klaagster stelt deze claim misleidend is omdat bij tests in laboratorium de tandplak niet van tanden maar van glasplaatje worden verwijderd. Verweerder Kijkshop stelt te goeder trouw te zijn en gaat ervan uit dat leverancier Global Agency juiste informatie verstrekt aan derden. Verweerder Global Agency weerspreekt gemotiveerd de klacht.

Commissie oordeelt over Global Agency dat op de verpakking uitdrukkelijk wordt verwezen naar laboratoriumtests op website. Samenvatting resultaten is op eenvoudige wijze via website op te vragen. Tests zijn uitgevoerd op echte tanden en niet op glasplaatjes. Commissie is van oordeel dat consument op grond van verpakking voldoende op de hoogte is gebracht over de wijze waarop resultaten zijn bereikt. Klaagsters stelling is kennelijk gebaseerd op onjuiste veronderstelling. Wijst klacht af.

Commissie oordeelt over Kijkshop dat in uitingen in algemene zin wordt gesteld dat product 99,5% van alle tandplak verwijdert. Verwijzing naar tests en behandelde gebieden ontbreekt. Oordeelt daarom dat er sprake is van ontbreken van essentiële informatie in uitingen dus sprake van omissie (art. 8.3 onder c NRC). Strijd met art. 7 NRC. Doet aanbeveling.

 

Global Agency

De Commissie stelt voorop dat bij de claim op de verpakking met betrekking tot de van het gebruik van haar product te verwachten resultaten, uitdrukkelijk wordt verwezen naar “laboratoriumtests” op haar website. Een samenvatting van de resultaten van die tests is op eenvoudige wijze op te vragen via de website www.waterpik.nl. Anders dan klaagster stelt, blijkt uit de informatie dat de tests zijn uitgevoerd op echte tanden in plaats van op glasplaatjes.
Kijkshop

In de reclame-uitingen van Kijkshop wordt in algemene zin gesteld dat het onderhavige product 99,9% van alle tandplak verwijdert.
Zowel de informatie dat deze claim voor de behandelde gebieden geldt, als een verwijzing naar de laboratoriumtests op de website, ontbreekt in deze uitingen. Voor het nemen van een goed geïnformeerd besluit tot het al dan niet aanschaffen van het bedoelde product is deze informatie, zonder welke informatie immers niet bekend is op welke manier het geclaimde resultaat is behaald, naar het oordeel van de Commissie dermate essentieel dat deze in de uiting had dienen te staan, althans dat in de uiting daarnaar verwezen had dienen te worden.

Buy It Direct Ltd 
A website, on 20 April 2011, for a Fratelli Onofri Imperial 90 cm Fuel Range Cooker. Text stated "Was £3370.19 You save £305.22" and advertised the cooker at £3064.97.

ACS Renewable Solutions Ltd
A mailing, for ACS Renewable Solutions, made a number of claims for an air source heat pump. The mailing included a table labelled "Examples of Actual Customer Savings (after a Heat Pump was installed)", which compared the fuel costs per annum of six different houses before and after a heat pump was installed. One example was a four-bedroom house, which cost £1200 per annum when heated by liquefied petroleum (LPG) and under £400 when heated with a heat pump.

Cell Drinks challenged champion free-runner Tim Shieff to test out Cell Drink’s zero spillage claims. Is Cell really ‘made for the Dancefloor’? Let’s find out”. RCC 5 juli 2011, Dossiernr. 2011/00517 (Discoliedjes bij Plus)

Reclamerecht. Televisiecommercial over discomuntjes waar muziek op staat. Klager stelt dat uiting misleidend is omdat de muntjes geen volledige liedjes afspelen maar slechts 15 seconden van het nummer. Verweerder stelt dat wegens auteursrechtelijke redenen de nummers maar 20 seconden lang zijn. Uiting suggereert niet dat liedjes volledig op muntjes staan.
Commissie oordeelt dat uiting gedeeltelijk gericht is tot kinderen. KJC is daarom van toepassing. Indruk wordt gewekt dat gehele liedjes op muntjes staan dus misleidend voor kinderen. Strijd met art. 1 KJC. Ook voor andere personen onduidelijk t.a.v. voornaamste kenmerken product (art. 8.2 aanhef en onder b NRC). Strijd met art. 7 NRC. Doet aanbeveling.

Naar het oordeel van de Commissie wordt door de mededeling dat je de met name genoemde artiesten “gratis op deze disco’s” krijgt, de indruk gewekt dat complete liedjes op de disco’s staan. Kinderen hoeven er niet op bedacht te zijn dat de disco’s slechts zeer korte fragmenten van liedjes bevatten, nu daaromtrent in de commercial geen enkele mededeling wordt gedaan. De Commissie acht de commercial misleidend voor kinderen en om die reden in strijd met artikel 1 KJC.

Reclamerecht. Televisiecommercial over PLUS spaaractie van discomuntjes. Klager stelt dat uiting niet vermeld dat apart discospelertje nodig is om muntjes af te spelen. Ook zijn deze niet meer verkrijgbaar terwijl actie nog loopt. Acht uiting misleidend. Verweerder stelt dat discospeler duidelijk in uiting wordt getoond. In folder is OP=OP vermeld. Toen spelers op waren, is externe communicatie rond campagne gestaakt en publiek hierover geïnformeerd via website en winkels.

Commissie oordeelt dat uiting gedeeltelijk op kinderen is gericht en acht daarom de KJC van toepassing. In uiting wordt geen mededeling gedaan over kosten speler. Acht uiting daarom misleidend voor kinderen en dus in strijd met art. 1 KJC. Ook is voor andere personen onduidelijk dat de speler niet gratis is, daarom sprake van omissie (art. 8.3 aanhef en onder c NRC). Strijd met art. 7 NRC. In uiting ook geen voorbehoud v.w.b. voorraad spelers, genomen maatregelen door verweerder leiden niet tot ander oordeel. Doet aanbeveling.

Nu de televisiecommercial, onder andere blijkens de aanhef “Jongens en meisjes”, in ieder geval gedeeltelijk gericht is tot kinderen, is hierop de Kinder- en Jeugdreclamecode (KJC) van toepassing. Reclame die geheel of gedeeltelijk tot kinderen is gericht, mag volgens artikel 1 KJC niets in woord, geluid of beeld bevatten waardoor kinderen op enigerlei wijze worden misleid over de mogelijkheid en eigenschappen van het aangeboden product. Daarbij dient, blijkens de toelichting bij genoemd artikel, rekening te worden gehouden met hun bevattingsvermogen en verwachtingspatroon. Naar het oordeel van de Commissie wordt door de mededeling dat je de met name genoemde artiesten “gratis op deze disco’s” krijgt en deze kunt afspelen op de discospeler, de indruk gewekt dat ook de discospe­ler gratis is. Uit de televisiecommercial blijkt verder niet dat de discospeler die nodig is voor het afspelen van de disco’s € 1,-- kost. Kinderen hoeven niet op dit laatste bedacht te zijn, nu daaromtrent in de commercial geen mededeling wordt gedaan. De Commissie acht de commercial daarom misleidend voor kinderen en om die reden in strijd met artikel 1 KJC.

Gratis Ipod na aanschaf vijf producten i.p.v. één

RCC 17 maart 2011, Dossiernr. 2011/00032 (Whirlpool)

Reclamerecht. Uitingen op webpagina's van whirlpool.nl. Klager stelt dat op website staat dat men bij aankoop van magnetron een Ipod ontvangt. Echter, uit de voorwaarden blijkt dat alleen bij aankoop van 5 producten een gratis Ipod wordt weggegeven. Klager vindt uiting daarom misleidend. Verweerder stelt dat communicatie rond actie duidelijk is nu asterisk in uiting verwijst naar actievoorwaarden.

Commissie vindt dat de voorwaarde vijf producten te kopen om een Ipod te ontvangen dermate essentieel is dat deze in uiting vermeld had moeten worden. Enkele verwijzing naar actievoorwaarden is niet voldoende. Sprake van omissie danwel te laat verstrekken van essentiële informatie (art. 8.3 aanhef en onder c NRC). Strijd met art. 7 NRC en Commissie doet aanbeveling.

 

Op de verschillende overgelegde webpagina’s staat dat men bij aankoop van een 6th Sense® All-in-One combi(magnetron) gratis een iPod touch ontvangt. Niet blijkt hieruit dat men, om een iPod te ontvangen, nog 5 andere keukenapparaten dient aan te schaffen.
Deze voorwaarde acht de Commissie dermate essentieel dat deze in de uiting had moeten worden genoemd. De enkele verwijzing naar de tekst: ‘zie voorwaarden pagina’ (voor zover deze zin al op de desbetreffende webpagina’s staat), is in dit kader onvoldoende.

Gelet op het voorgaande is naar het oordeel van de Commissie in de onderhavige uiting sprake van een omissie dan wel een te laat verstrekken van essen­tiële infor­matie als be­doeld in artikel 8.3 aanhef en onder c van de Nederlandse Reclame Code (NRC).

Vitabiotics

Ad was headlined "ADVANCED NUTRIENTS FOR THE BRAIN" and featured a picture of a box of supplements. Text on the box stated "Vitabiotics neurozan plus To help maintain Brain Function & Performance NUTRIENTS FOR THE BRAIN". Below the product shot, text in a blue box stated "Includes B VITAMINS & VIT D3 AS SHOWN IN NEW RESEARCH", and "B-VITAMINS & THE BRAIN Also includes the specific B vitamins reported in ground-breaking research".
The complainant challenged whether the claims in ad, that recent research had shown that B vitamins could help maintain brain function and mental performance was misleading, because they understood that the research referred to did not support that conclusion.

The ASA considered that the study was not suitable to support claims relating to brain function or mental performance. The ASA therefore concluded that the implied claims that recent research had shown that B vitamins could help maintain brain function and performance had not been substantiated and were misleading.

Breached CAP Code (Edition 12) rules 3.1 (Misleading advertising), 3.7 (Substantiation), 15.1 and 15.1.1 (Food, food supplements and associated health and nutrition claims) and 15.7 (Food Supplements and other Vitamins and Minerals). Ad must not appear again in its current form.

Pass n go

A leaflet and directory entry promoted a driving school. A leaflet stated “THE DRIVING SCHOOL WITH THE HIGHEST PASS RATES ... INSTRUCTORS WITH THE HIGHEST PASS RATES ... WE GUARANTEE -THE BEST CUSTOMER SERVICE - THE BEST DRIVING INSTRUCTORS - THE BEST PASS RATES”. A directory entry stated “I’M PASSING WITH PASS’N’GO The Driving School With The Best Pass Rates Guaranteed ...”.

Complainant challenged whether the claims "THE HIGHEST PASS RATES", "best pass rates" and "best driving instructors" could be substantiated, because they believed the company could not know the pass rates of drivers in other companies and because they believed this implied the drivers would be qualified with the top grade.

The ASA considered that HIGHEST PASS RATES" and the "best pass rates" was a comparative, superlative claim which would be understood by consumers to mean that Pass N Go had achieved more driving test passes than its competitors. In the absence of documentary evidence in support of the claims that Pass N Go had HIGHEST PASS RATES" and the "best pass rates, we concluded that the ad was likely to mislead.

And further, because we considered that the claim "Best Pass Rates" was an objective claim which defined the "best driving instructors" as those drivers who had achieved the highest pass rates, and because we had not seen any evidence in support of that claim, we concluded that the ad was likely to mislead.

The ad breached CAP Code (Edition 12) rules 3.1 (Misleading advertising), 3.7 (Substantiation) and 3.38 (Other comparisons). The ad must not appear again in its current form.

personal choice

A regional press ad, for snow boots and ice and snow grippers, stated "We aim to dispatch goods within 7 days, but please allow up to 28 days for delivery".

The complainant, who was told the items they ordered were out of stock, two months after they placed the order and paid, challenged whether the ad was misleading.

In the absence of any evidence that demonstrated that the products advertised were available for purchase at the time the ad appeared or that Personal Choice had made a reasonable estimate of demand, the ASA concluded that the ad was misleading.

The ad breached CAP Code (Edition 12) rules 3.1 (Misleading advertising), 3.27, 3.28 and 3.29 (Availability). The ad must not appear again in its current form.
